Rovereto, 9 January 2026 – Today, Dolomiti Energia Holding S.p.A. (the "Company") announces the signing of an exchange agreement with Carlo Tassara S.p.A., as part of a corporate reorganisation operation, concerning the acquisition of the entire minority stake held by the latter in Dolomiti Energia Trading S.p.A., equal to 1.28% of the share capital, corresponding to 31,600 shares.

The consideration for the operation is represented by the transfer to Carlo Tassara S.p.A. of 550,000 treasury shares of Dolomiti Energia Holding S.p.A., representing 0.134% of the Company's share capital.

The operation has no effect on the control of the Company.
